Swarmer Plans to Buy Ratel: How Ground Robots Could Extend Its Autonomous Systems Business

How Swarmer would pair drone autonomy with Ratel UGVs for launch, logistics, and NATO sales.

Swarmer plans to buy Ratel Robotics to add ground robots to its drone-autonomy business. The acquisition would combine Swarmer's autonomy software with Ratel's modular unmanned ground vehicles, or UGVs, which carry supplies and sensors.

Swarmer said in its definitive agreement announcement that it agreed Sept. 10, 2026 to acquire 100 percent of Ratel. The price reaches up to $224 million in cash and stock if all earnout milestones are met.

What does Ratel bring?

Ratel is a Ukrainian maker of unmanned ground vehicles built around modular designs. Swarmer says its vehicles cover logistics, casualty evacuation, reconnaissance, drone launching and demining, with two air-drone variants in development.

SecurityWorldMarket, reporting on Swarmer's release, said in its acquisition business report that Ratel secured $86 million in contracts in 2026 and is discussing contracts with multiple NATO nations under Build With Ukraine. Edgen reports that Ratel holds about 37 percent of Ukrainian government UGV procurement.

How would ground robots extend autonomy?

Edgen reported Swarmer's rationale in its deal breakdown as adding the ground layer it did not have. Swarmer plans to use UGVs as universal launch platforms for UAVs and interceptors.

The plan pairs battle-tested vehicles with Swarmer's autonomy stack. That would move Swarmer from air-only autonomy toward combined air-ground operations. A shared autonomy layer could support coordinated tasks such as transport, launch, sensing and resupply.

What are the price, staffing and closing terms?

Defence Blog said in its acquisition report that only about $7.2 million in cash plus about 1.06 million shares are due at closing. The balance depends on 2026 revenue and profit plus 2028 targets. Closing is expected in Q4 2026 pending legal, regulatory and shareholder approvals.

Swarmer says more than 300 Ratel employees are expected to join at closing. The combined workforce would reach nearly 500. Founder Taras Ostapchuk would remain Ratel CEO and report to Swarmer president Alex Fink.

Who is affected and what should readers track?

For Ukrainian and NATO buyers, success would mean one supplier for integrated air-ground autonomy at scale. Edgen notes Ratel's procurement share gives Swarmer an installed base to build on. The near-term test is whether Q4 approvals and closing hold.

For investors, dilution arrives mainly if earnouts are achieved. That links extra shares and cash to delivered revenue and profit rather than promises. The practical step is to track closing approvals, 2026 results and any NATO contract announcements.
